Professional Services Policy

Understand the framework for how AnyInspect provides additional professional services on request. This policy applies to all professional services engagements between Helveton Limited (trading as AnyInspect.ai, hereinafter referred to as "AnyInspect", "we", "us", or "our") and our customers ("you" or "your").

1. Scope

This policy has been prepared to provide a clear understanding of how AnyInspect provides professional services beyond the standard features included in your AnyInspect subscription plan. These additional professional services ("Additional Services") may include, but are not limited to:

• Custom report template design — Bespoke inspection report templates tailored to your organisation's branding, compliance requirements, or specific reporting standards across any of our 16 supported UK inspection types (fire risk, asbestos, HHSRS, damp & mould, EPC, legionella, and more).
• Onboarding assistance — Customised onboarding programmes designed to help your team get up and running with AnyInspect quickly and effectively, including platform configuration, workflow setup, and guided walkthroughs of key features.
• Data migration services — Assistance with migrating your existing inspection records, property portfolios, asset data, historical reports, and other relevant information from legacy systems or third-party platforms into AnyInspect.
• API integration support — Technical assistance with integrating AnyInspect's API into your existing technology stack, including property management systems, facilities management software, compliance databases, and other enterprise platforms.
• Custom inspection type configuration — Development and configuration of bespoke inspection types beyond the standard 16 types offered, tailored to your organisation's specific regulatory or operational requirements.
• Training sessions — On-site or remote training sessions for inspectors, office staff, and management teams, covering topics such as the mobile inspection app, AI-powered report generation, scheduling, invoicing, and administrative workflows.
• Industry-specific configuration — Tailored platform setup for specific industry verticals including social housing, build-to-rent, fire safety consultancies, facilities management, local authorities, and other sectors we serve.
• Custom AI model tuning — Adjustments to our AI-powered analysis pipeline to better suit your organisation's preferred terminology, reporting style, or compliance framework.
• Custom development services — Bespoke feature development, custom integrations, or platform modifications undertaken specifically for your organisation at your request.
• Dedicated account management — Provision of a dedicated account manager or customer success representative for enterprise or high-volume accounts.

The standard features and functionality included in your AnyInspect subscription plan are governed by our Terms of Service and are not subject to this Professional Services Policy. This policy applies solely to Additional Services that fall outside the scope of your standard subscription.

2. Statement of Work

Where AnyInspect is willing to provide those Additional Services, the parties will negotiate in good faith to agree a Statement of Work ("SOW") for the Additional Services provided in the Form of Statement of Work. AnyInspect will be under no obligation to provide the relevant Additional Services unless a duly authorised representative of each party has signed that Statement of Work.

Each Statement of Work will typically include:

• A detailed description of the Additional Services to be provided.
• The scope, objectives, and deliverables of the engagement.
• The estimated timeline and any key milestones or deadlines.
• The fees, payment terms, and billing schedule applicable to the Additional Services.
• The responsibilities of each party, including any information, access, or resources you are required to provide.
• Acceptance criteria for deliverables, where applicable.
• Any assumptions, dependencies, or constraints that may affect the delivery of the Additional Services.

3. Fees and Payment

Fees for Additional Services will be set out in the relevant Statement of Work. Unless otherwise specified in the SOW:

• Fees may be quoted on a fixed-price, time-and-materials, or milestone-based basis depending on the nature and complexity of the engagement.
• All fees are quoted in United States Dollars (USD) unless otherwise agreed in writing.
• Invoices will be issued in accordance with the billing schedule set out in the SOW and are payable within thirty (30) days of the invoice date unless otherwise agreed.
• All fees are exclusive of applicable taxes, which will be charged in addition where required by law.
• Travel and accommodation expenses, if applicable, will be invoiced at cost and must be pre-approved by you in writing before they are incurred.

4. Your Responsibilities

To enable AnyInspect to deliver the Additional Services effectively and on schedule, you agree to:

• Provide timely access to the information, data, systems, and personnel reasonably required by AnyInspect to perform the Additional Services.
• Designate a primary point of contact who will be authorised to make decisions and provide approvals on your behalf in relation to the Additional Services.
• Review and provide feedback on deliverables within the timeframes set out in the SOW.
• Ensure that any data or content provided to AnyInspect for the purposes of the Additional Services does not infringe any third-party rights and complies with all applicable laws and regulations.
• Promptly notify AnyInspect of any changes in your requirements or circumstances that may affect the delivery of the Additional Services.

Delays or failures caused by your failure to fulfil these responsibilities may result in revised timelines, additional fees, or both, as agreed in writing between the parties.

5. Intellectual Property

Unless otherwise specified in the applicable Statement of Work:

• All intellectual property rights in any materials, software, tools, methodologies, or know-how developed or used by AnyInspect in the course of providing the Additional Services that are of general applicability ("AnyInspect IP") shall remain the property of AnyInspect.
• You are granted a non-exclusive, non-transferable licence to use any AnyInspect IP delivered to you as part of the Additional Services, solely in connection with your authorised use of the AnyInspect platform, for the duration of your subscription.
• Any materials, data, or content provided by you to AnyInspect for the purposes of the Additional Services ("Your Materials") shall remain your property. You grant AnyInspect a limited licence to use Your Materials solely for the purpose of delivering the Additional Services.
• Custom deliverables created specifically for you (such as bespoke report templates or custom inspection configurations) will be licensed to you for use within the AnyInspect platform. Ownership of any underlying code, frameworks, or reusable components shall remain with AnyInspect.

6. Confidentiality

Each party agrees to keep confidential all information received from the other party in connection with the Additional Services that is identified as confidential or that would reasonably be understood to be confidential ("Confidential Information"). Neither party will disclose the other party's Confidential Information to any third party or use it for any purpose other than the performance or receipt of the Additional Services, except:

• With the prior written consent of the disclosing party.
• Where required by law, regulation, or court order, provided that the receiving party gives the disclosing party reasonable prior notice where legally permitted.
• To the receiving party's employees, contractors, or advisers who have a need to know and are bound by confidentiality obligations at least as protective as those contained in this policy.

This obligation of confidentiality does not apply to information that is or becomes publicly available through no fault of the receiving party, was already known to the receiving party prior to disclosure, or is independently developed by the receiving party without reference to the Confidential Information.

7. Changes to Scope

If either party wishes to change the scope of the Additional Services described in a Statement of Work, the requesting party will submit a written change request. AnyInspect will assess the impact of the requested change on the timeline, fees, and deliverables and provide an updated estimate. No change will take effect until both parties have agreed to an amended Statement of Work or a written change order signed by authorised representatives of both parties.

8. Cancellation and Termination

Either party may terminate a Statement of Work by providing thirty (30) days' prior written notice to the other party. In the event of termination:

• You will be responsible for payment of all fees for Additional Services performed up to the effective date of termination, including any non-cancellable costs or commitments incurred by AnyInspect on your behalf.
• AnyInspect will deliver to you any completed or partially-completed deliverables for which you have paid, to the extent reasonably practicable.
• Termination of a Statement of Work does not affect your underlying AnyInspect subscription, which is governed by the Terms of Service.

Either party may terminate a Statement of Work immediately upon written notice if the other party commits a material breach of the SOW and fails to remedy that breach within fourteen (14) days of receiving written notice of the breach.

9. Warranties and Limitations

AnyInspect warrants that the Additional Services will be performed with reasonable skill and care by appropriately qualified personnel. Except as expressly set out in this policy or in the applicable Statement of Work:

• The Additional Services are provided "as is" and AnyInspect makes no other warranties, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
• AnyInspect's total aggregate liability arising out of or in connection with any Statement of Work shall not exceed the total fees actually paid by you under that Statement of Work.
• In no event shall either party be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunity, arising out of or in connection with the Additional Services, regardless of the cause of action or the theory of liability.

10. Data Protection

Where the provision of Additional Services involves the processing of personal data, the parties will comply with all applicable data protection laws and regulations. Where AnyInspect processes personal data on your behalf in connection with the Additional Services, such processing will be governed by the data processing terms set out in our Privacy Policy or a separate Data Processing Agreement, as applicable. You are responsible for ensuring that you have all necessary rights, consents, and legal bases to share any personal data with AnyInspect for the purposes of the Additional Services.

11. Governing Law and Dispute Resolution

This policy and any Statement of Work entered into under it shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles. Any dispute arising out of or in connection with this policy or any Statement of Work shall first be attempted to be resolved through good faith negotiation between the parties. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may submit the dispute to the courts of the State of Delaware.

12. Amendments to This Policy

AnyInspect reserves the right to update or modify this Professional Services Policy from time to time. Any material changes will be communicated to affected customers in advance. The most current version of this policy will always be available on our website. Continued engagement of Additional Services following the publication of changes constitutes your acceptance of the updated policy.
