1. Acceptance of Terms

By accessing or using AnyInspect's mobile application, web dashboard, or any related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use the Service.

These Terms constitute a legally binding agreement between you and Helveton Limited, trading as AnyInspect ("we", "us", "our"). Helveton Limited is a company registered in the State of Delaware, United States. If you are using the Service on behalf of an organisation, you represent and warrant that you have the authority to bind that organisation to these Terms.

2. Definitions

  • "Service" means the AnyInspect mobile application, web dashboard, API, and all related features and tools.
  • "User" means any individual who accesses or uses the Service, including Inspectors, Admins, Owners, and Clients.
  • "Inspector" means a User who conducts building inspections using the Service.
  • "Organisation" means a company, firm, or entity registered on the Service under which Users operate.
  • "Inspection" means a building inspection activity recorded and managed through the Service.
  • "Report" means an inspection report generated through the Service, including any AI-generated content.
  • "AI-Generated Content" means any text, analysis, findings, or recommendations produced by artificial intelligence systems within the Service, including transcriptions and inspection analysis.
  • "User Content" means any data, recordings, photographs, notes, or other materials uploaded or created by Users through the Service.

3. Eligibility and Account Registration

You must be at least 18 years old to use the Service. By registering, you agree to:

  • Provide accurate, current, and complete information during registration.
  • Maintain and promptly update your account information to keep it accurate.
  • Keep your login credentials secure and confidential. You are responsible for all activity under your account.
  • Notify us immediately of any unauthorised access to or use of your account.

We reserve the right to suspend or terminate accounts that contain inaccurate information, violate these Terms, or are used for fraudulent purposes.

3.1 Organisation Accounts

Organisations may invite multiple Users with different roles (Owner, Admin, Inspector, Client). The Organisation Owner is responsible for managing team access and ensuring all Users within the Organisation comply with these Terms.

4. Description of the Service

AnyInspect provides:

  • A mobile application for recording building inspections via video, audio, and photographs.
  • AI-powered transcription of inspection recordings and automated analysis to generate draft report items.
  • A web dashboard for managing inspections, reviewing and editing reports, scheduling, invoicing, and team administration.
  • PDF report generation for completed and approved inspections.
  • Offline functionality with automatic data synchronisation.

5. AI-Generated Content

This section contains important information about the limitations of AI-generated content. Please read it carefully.

  • Assistive tool only: The AI features of the Service are designed as assistive tools to aid qualified professionals. AI-Generated Content is produced as draft material and must not be treated as final, verified, or authoritative.
  • No substitute for professional judgement: AI-Generated Content does not constitute professional building inspection advice, fire safety advice, health and safety advice, or any other regulated professional opinion. It is not a substitute for the knowledge, experience, and judgement of a qualified inspector.
  • Human review is mandatory: You must review, verify, and approve or reject all AI-Generated Content before finalising any Report. You are solely responsible for the accuracy, completeness, and professional adequacy of any Report you produce using the Service.
  • No guarantee of accuracy: We do not warrant that AI-Generated Content is accurate, complete, current, or fit for any particular purpose. AI systems may produce errors, omissions, or misleading outputs.
  • Regulatory compliance: You are solely responsible for ensuring that any Reports you produce comply with all applicable laws, regulations, and industry standards, including but not limited to the Regulatory Reform (Fire Safety) Order 2005, the Housing Health and Safety Rating System, and any other relevant legislation.

6. User Content

6.1 Ownership

You retain all ownership rights to the User Content you upload or create through the Service, including recordings, photographs, notes, and any modifications you make to AI-Generated Content.

6.2 Licence Grant

By uploading User Content to the Service, you grant us a non-exclusive, worldwide, royalty-free licence to store, process, transmit, and display your User Content solely for the purpose of providing and improving the Service. This licence continues for as long as your content is stored within the Service and terminates when it is deleted.

6.3 Our Intellectual Property

The Service, including its software, design, templates, branding, and documentation, is owned by AnyInspect and protected by intellectual property laws. You may not copy, modify, distribute, reverse engineer, decompile, or create derivative works of the Service without our prior written consent.

7. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws or regulations.
  • Upload content that is illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable.
  • Attempt to gain unauthorised access to the Service, other accounts, or any related systems or networks.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Share your account credentials with third parties or allow unauthorised persons to access your account.
  • Use the Service to build a competing product or service.
  • Scrape, crawl, or use automated means to access the Service without our consent.
  • Misrepresent AI-Generated Content as having been independently verified when it has not been reviewed by a qualified professional.

8. Subscriptions, Payments, and Billing

8.1 Subscription Plans

Access to the Service requires a paid subscription. Details of available plans and pricing are set out on our Pricing page. We may offer free trials at our discretion.

8.2 Payment Processing

All payments are processed securely through Stripe. By subscribing, you authorise us to charge your chosen payment method on a recurring basis according to your selected billing cycle.

8.3 Auto-Renewal and Cancellation

Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You may cancel your subscription at any time through the Service. Cancellation takes effect at the end of the current billing period, and you will retain access until then.

8.4 Price Changes

We may change our subscription prices with reasonable notice. We will notify you of any price changes at least 30 days before they take effect. Continued use of the Service after a price change constitutes acceptance of the new pricing.

8.5 Refunds

Subscription fees are generally non-refundable. If you believe you have been charged in error, please contact us at [email protected]. Nothing in this section affects your statutory rights under the Consumer Rights Act 2015.

9. Service Availability

  • We aim to provide reliable and continuous access to the Service, but we do not guarantee 100% uptime.
  • The Service may be temporarily unavailable due to planned maintenance, updates, or circumstances beyond our reasonable control.
  • The offline mode of the mobile application allows certain features to function without an internet connection. Data created offline will synchronise automatically when connectivity is restored. We are not responsible for data loss resulting from synchronisation failures caused by device issues.

10. Third-Party Services

The Service integrates with third-party providers including Deepgram, Google, Amazon Web Services, Stripe, PostHog, and Cloudflare. Your use of the Service is also subject to the terms and policies of these providers where applicable. We are not responsible for the availability, accuracy, or practices of third-party services.

11. Limitation of Liability

To the maximum extent permitted by applicable law:

  • The Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
  • We do not warrant that AI-Generated Content is accurate, complete, reliable, or fit for any particular purpose.
  • We shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.
  • Our total aggregate liability to you for any claims arising from or related to the Service shall not exceed the total amount you paid to us in the 12 months preceding the claim.
  • We are not liable for any loss, damage, injury, regulatory action, or professional liability arising from reliance on AI-Generated Content that has not been properly reviewed and verified by a qualified professional.
  • We do not guarantee that Reports produced using the Service comply with any building regulations, fire safety standards, housing legislation, or other regulatory requirements. Compliance is your responsibility.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable law, including the Consumer Rights Act 2015 and the Unfair Contract Terms Act 1977.

12. Indemnification

You agree to indemnify and hold harmless AnyInspect and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from:

  • Your use of the Service and the Reports you produce.
  • Your failure to properly review and verify AI-Generated Content before finalising a Report.
  • Your violation of any applicable laws, regulations, or professional standards.
  • Your breach of these Terms.
  • Any claim by a third party arising from a Report you produced using the Service.

13. Termination

13.1 Termination by You

You may terminate your account at any time by contacting us at [email protected]. Upon termination, your right to use the Service ceases immediately. We will retain your data in accordance with our Privacy Policy.

13.2 Termination by Us

We may suspend or terminate your account immediately if you breach these Terms, engage in fraudulent activity, fail to pay subscription fees, or if continued provision of the Service becomes impractical or unlawful.

13.3 Effect of Termination

Upon termination, you may request an export of your User Content within 30 days. After this period, we may delete your data in accordance with our retention policies, subject to any legal obligations to retain certain records.

14. Data Protection

Your privacy is important to us. Please refer to our Privacy Policy for details on how we collect, use, and protect your personal data. Our Privacy Policy forms part of these Terms.

15. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

Nothing in these Terms affects your statutory rights as a consumer, including your rights under the Consumer Rights Act 2015.

16. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or through the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service.

17. General Provisions

  • Entire agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and AnyInspect regarding the Service.
  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
  • Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
  • Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
  • Force majeure: We shall not be liable for any failure or delay in performing our obligations where such failure or delay results from circumstances beyond our reasonable control.
