Referral Policy

1. Introduction

This Referral Policy ("Policy") governs the AnyInspect Referral Program ("Program") operated by Helveton Limited, trading as AnyInspect.ai ("AnyInspect", "we", "us", or "our"). Our registered address is 1111B S Governors Ave #99667, Dover, DE 19904, United States.

By participating in the Program, you agree to be bound by the terms set out in this Policy. AnyInspect reserves the right to modify, suspend, or terminate the Program at any time, with or without notice.

2. Program Overview

In further co-aligning AnyInspect's business objectives with your business objectives, you can reduce your subscription costs by participating in our referral program. The Program is designed to reward existing AnyInspect customers who successfully refer new customers to our AI-powered building inspection platform.

For each customer that you refer who enters into a subscription agreement with AnyInspect, you will be entitled to an ongoing referral bonus as described in this Policy.

3. Eligibility

To participate in the Program, you must meet the following criteria:

  • You must be an active, paying AnyInspect subscriber with a current subscription in good standing.
  • Your account must not be suspended, terminated, or otherwise in breach of AnyInspect's Terms of Service.
  • You must comply with all applicable laws and regulations when making referrals, including but not limited to anti-spam legislation and data protection laws.

4. Referral Bonus Calculation

The referral bonus is calculated as 15% of the referred customer's monthly subscription fee, not including support, setup, onboarding, or any additional service fees or expenses.

Any referral bonuses earned from the Program will be provided as a discount applied to your existing monthly subscription fee, rather than as a separate cash payment or credit.

5. Bonus Duration

The referral bonus will be paid from the first month of the referred customer's subscription start date and will continue to be paid for the shorter of:

  1. 6 months from the referred customer's subscription start date; and
  2. the term of the referred customer's subscription agreement (i.e., if the referred customer cancels before 6 months, the bonus ceases at that point).

6. Qualifying Referrals

In order to qualify for a referral bonus, the following conditions must be met:

  • The referred customer must be cleanly referred — meaning they must not have been previously referred by another existing AnyInspect customer.
  • The referred customer must not have been previously in communication with the AnyInspect team (e.g., through a sales enquiry, demo request, trial sign-up, or any other prior engagement).
  • The referred customer must not be an existing or previous customer of AnyInspect.
  • The referral must be evidenced by a clear introduction — for example, an introduction email from you to the referred contact that includes the AnyInspect team.

AnyInspect will determine whether a referral qualifies for the Program in its absolute discretion.

7. Referral Bonus Cap

The aggregate referral bonus that you may receive each month is capped at 50% of your monthly subscription fee. This means that even if you refer multiple customers, the total discount applied to your subscription in any given month will not exceed half of your own monthly subscription cost.

8. Payment and Set-Off

Any referral bonuses earned from the Program will be paid by AnyInspect to you once per month, coinciding with your monthly subscription fee billing cycle. AnyInspect may set off any referral bonuses against fees payable by you to AnyInspect.

For clarity, referral bonuses are applied as credits or discounts against your subscription invoice. No cash payments will be issued under this Program.

9. Formal Contract Terms

The following terms form part of your subscription agreement with AnyInspect regarding the Referral Program:

  1. For each subscriber that Customer refers to AnyInspect (as determined by AnyInspect in its absolute discretion) and who enters into a subscription agreement with AnyInspect, Customer will be entitled to a referral bonus as specified in paragraph (b).
  2. Subject to the cap specified in paragraph (f), the referral bonus will be calculated as 15% of the referred subscriber's monthly subscription fee received in clear funds from the subscriber (excluding sales tax, VAT, and other applicable taxes), and not including support, setup, or onboarding fees or expenses.
  3. The referral bonus will be paid from the first month of the referred subscriber's subscription from the Access Date, and will continue to be paid for the shorter of:
    1. 6 months from that start date; and
    2. the term of the referred subscriber's subscription agreement.
  4. Any referral bonuses earned from the Program will be paid by AnyInspect to Customer once per month, coinciding with Customer's monthly service fee. AnyInspect may set off any referral bonuses against Fees payable by Customer to AnyInspect.
  5. In order to qualify for a referral bonus, the subscriber who is referred must not be an existing or previous customer of AnyInspect or have previously been in contact with AnyInspect (as determined by AnyInspect in its absolute discretion).
  6. The aggregate referral bonus which Customer may be paid each month is capped at 50% of Customer's monthly Subscription Fee.

10. Prohibited Conduct

You may not engage in any of the following activities in connection with the Program:

  • Making misleading, deceptive, or false claims about AnyInspect, its products, services, pricing, or capabilities.
  • Sending unsolicited bulk communications (spam) to promote AnyInspect or the referral program.
  • Creating fake accounts, fictitious referrals, or engaging in any form of fraud or self-referral.
  • Using AnyInspect's trademarks, logos, or branding in a manner not expressly authorised by AnyInspect.
  • Offering additional incentives, kickbacks, or payments to potential referrals beyond what is provided by AnyInspect under this Program.

AnyInspect reserves the right to disqualify any referral and revoke any bonuses earned through prohibited conduct, and may terminate your participation in the Program immediately.

11. Program Modifications and Termination

AnyInspect reserves the right to modify the terms of this Policy, adjust referral bonus rates, or discontinue the Program entirely at any time, with or without prior notice. Any changes will apply to referrals made after the date of the change. Referral bonuses already earned and in progress at the time of any modification will be honoured for their remaining duration under the original terms.

12. Tax Obligations

You are solely responsible for any tax obligations arising from referral bonuses received under this Program. AnyInspect does not provide tax advice, and you should consult with your own tax advisor regarding the tax implications of participating in the Program.

13. Limitation of Liability

AnyInspect's total liability in connection with the Referral Program shall not exceed the total value of referral bonuses earned by you in the 12 months preceding any claim. AnyInspect shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to the Program.

14. Relationship of the Parties

Nothing in this Policy creates a partnership, joint venture, agency, franchise, or employment relationship between you and AnyInspect. You are not authorised to make any representations, warranties, or commitments on behalf of AnyInspect.

15. Governing Law

This Policy shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict of laws principles. Any disputes arising under or in connection with this Policy shall be subject to the exclusive jurisdiction of the courts of the State of Delaware.
